Art. 1 – object and purpose

Framework agreement regulates the basic conditions of all individual orders (moving, cleaning, crafts, garden, winter service). Individual orders are specified in the order confirmation. In the event of a conflict, the order confirmation takes precedence over the framework agreement. No exclusivity requirement. The client's general terms and conditions are excluded.

Art. 2 – scope of services

Standard services: Removals (individual/company moves including dismantling/assembly, packaging, transport); Cleaning (final cleaning, permanent cleaning, building cleaning); Household service/crafts (MeinTüftler brand); gardening/outdoor spaces; Winter service.

Special services: Separate written offer required.

Art. 3 – order placement and processing

Placing an order: email, WhatsApp, Odoo portal, telephone

Confirmation or rejection: within 4 working hours (business hours)

Standard order: Minimum lead time 48 hours

Express order (< 24h): Urgency surcharge +30%

Cancellation > 48h: free of charge; 24-48h: 25%; < 24h: 50%

Art. 4 – Prices and conditions

Price list as Annex B (annually, 30 days notice)

B2B prices: net (no VAT - Dynaev GMBH is exempt from VAT, Art. 10 para. 2 lit. a MWSTG)

Volume discount: from 10 orders/month: 5%; from 20 orders/month: 10%

Express order: +30%; Night (7:00 p.m. - 7:00 a.m.): +50%; Saturday from 2 p.m.: +30%; Sunday/holidays: +50%

Materials: purchase price + 10%

Trips > 30km from Silenen: according to price list

Art. 5 – Payment terms

Payment term: **15 days** net

Discount: 2% if paid within 10 days

Monthly collective billing possible

Interest on late payment: 5% p.a. from the due date

Reminder fee: **CHF 20.–** from the 2nd reminder

If the delay is > 60 days: Right to immediate termination of the contract

Art. 6 – Quality standards and SLA

Binding standards according to Annex A (SLA). Performance report on request within 4 hours. Quality reports in writing within 24 hours. Monthly reporting on request.

Art. 7 – Warranty and liability

Liability for gross negligence and intent

Liability limit: CHF 100,000 per claim

Public liability insurance: CHF 5,000,000.–

No compensation for lost profits, damage to reputation, consequential damages

Notification of defects: in writing within 24 hours of the service being provided

Right to rectification: within 48 hours

Art. 8 – Confidentiality and data protection

Confidentiality of all customer/property/access data; Binding 5 years after the end of the contract

Data processing in accordance with DSG 2023

No data transfer outside of order fulfillment

**AVV (order processing agreement) is a mandatory part of this framework agreement (Annex C) and must be signed before the service begins (Art. 9 nDSG)**

Art. 9 – Subcontractor

Allowed; Dynaev GMBH remains responsible. Same qualification and insurance standards.

Art. 10 – Term and termination

Permanent

Ordinary termination: 3 months to the end of the quarter, by registered mail

Extraordinary termination in the event of: late payment > 60 days, serious quality defects, insolvency

Art. 11 – Non-solicitation clause

The client is prohibited from directly or indirectly employing, commissioning or poaching employees or subcontractors employed by the contractor during the contractual relationship and for 12 months after the end of the contract (protection against undeclared work and circumvention). In the event of a violation, a contractual penalty of CHF 2,000 per case will be due; the right to claim higher proven damages remains reserved.

Art. 12 – Platform clause | Adjustments | Place of jurisdiction | Severability clause

Mandatory statutory jurisdictions remain reserved; Subsidiary place of jurisdiction Silenen, Canton Uri. Swiss law applies. A mediation period of 30 days is required before a court case.
